Software License Agreement

GOVERNING LAW: This Agreement is governed by and construed
in accordance with the laws of the State of California, U.S.A as applied
to agreements entered into and wholly performed within California
between California residents. This Agreement shall not be governed by
the 1980 U.N. Convention on Contracts for the International Sale of
Goods.

COMPLETE AGREEMENT: This Agreement is the entire
agreement between Hewlett-Packard and you with respect to the
Software. THE ACCEPTANCE OF ANY PURCHASE ORDER
PLACED BY YOU IS MADE CONDITIONAL ON YOUR
AGREEMENT TO THE TERMS SET FORTH IN THIS
AGREEMENT, AND HEWLETT-PACKARD AGREES TO
FURNISH THE SOFTWARE ONLY UPON THESE TERMS AND
NOT UPON THOSE IN YOUR PURCHASE ORDER. This
Agreement replaces all prior understandings and agreements, whether
written or oral. This agreement may not be modified unless Hewlett-
Packard and you both assent in writing.

SEVERABILITY: If for any reason a court of competent jurisdiction
finds any provision or part of any provision of this Agreement
unenforceable, that part or provision shall be enforced to the maximum
extent permitted by law so as to effect the intent of the parties, and the
remainder of the agreement shall continue in full force and effect.
