Software license agreement
This license is between Welch Allyn, Inc. (Welch Allyn) and the Customer that purchases
the Connex Product, and it governs the Connex software program, including any
embedded third party software.
READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY
BEFORE OPERATING THE CONNEX PRODUCT. THE CONNEX SOFTWARE IS
LICENSED (NOT SOLD). BY OPERATING THE CONNEX PRODUCT YOU ARE
ACCEPTING AND AGREEING TO THE TERMS OF THIS LICENSE AGREEMENT. IF YOU
ARE NOT WILLING TO BE BOUND BY THE TERMS OF THIS LICENSE AGREEMENT
YOU SHOULD PROMPTLY RETURN THE CONNEX PRODUCT TO WELCH ALLYN. THIS
LICENSE AGREEMENT REPRESENTS THE COMPLETE AGREEMENT CONCERNING
THE CONNEX SOFTWARE BETWEEN YOU AND WELCH ALLYN, AND IT SUPERSEDES
ANY PRIOR PROPOSAL, REPRESENTATION, OR UNDERSTANDING YOU MAY HAVE
HAD.
License of Connex Software
1. Welch Allyn grants and Customer accepts a non-exclusive license to use the Connex
Software at Customer's facilities, subject to the terms of this license, for up to the
maximum number of patient input connections that are identified in the purchase
order. Licenses are granted for designated features, which, for example, include
without limitation, device connectivity, review features, and connectivity to 3rd party
software packages. License features can be included in the initial installation or
purchased as upgrades. All upgrades are subject to the terms of this license. The
Connex Software is provided installed on one or more personal computers
purchased from Welch Allyn or on hardware approved by Welch Allyn, and can be
run only on those computers, or replacements for the original computers that are
obtained upon obsolescence of the originals. Welch Allyn will install the Connex
Software on replacement computers without payment of an additional license fee,
but a service charge may apply.
2. Customer shall not: a) copy the Connex Software, b) decompile or reverse engineer
the Connex Software, c) sublicense or distribute to any third party any part of the
Connex Software, d) transfer the Connex Software to additional computers, nor e)
circumvent any license keys or other means of restricting the copying and loading of
Connex Software on new hardware.
3. Ownership of and title in to the Connex Software and the documentation
accompanying the Connex Software (and all intellectual property rights embodied in
the Connex Software and documentation) is retained by Welch Allyn, and Customer
acquires only the right to use the Connex Software and documentation subject to
the restrictions set forth in this license.
