License Agreement
Use of the Software is subject to acceptance of the License Agreement below. Please read terms and
conditions of this License Agreement carefully. The material is copyrighted and licensed (not sold). This
License Agreement represents the entire agreement concerning the Licensed Material between Licenser and
Licensee and it supersedes any prior proposal, representation or understanding between the parties.
COMPUTER PROGRAM LICENSE AGREEMENT DEFINITIONS
Licenser: QUADROX tzov., having its principal offices at
Duigemhofstraat, 101, B-3020 Herent, Belgium.
Licensee: Holder of the license.
Licensed Material: Support containing the software, the software and the user documentation.
Software: Computer programs in machine-readable form (object code).
License Grant
1.a License
Licenser hereby grants Licensee, which accepts, a nonexclusive license to use the Licensed Material, only as
authorized in this License Agreement. The Software is made available in object code. Licensee agrees that he
may not reverse assemble, reverse compile or otherwise translate the Software or any part thereof. No
changes to the User Interface or access from external software are permitted without the explicit written
permission of the Licenser.
Licensee agrees that he will not assign, sublicense, transfer, pledge, lease, rent or share his rights proceeding
from this License Agreement, nor sell Licensed Material or any part or copy thereof.
1.b Single computer
The Software may be used only on one computer owned, leased or otherwise controlled by the Licensee. For
the purpose of this agreement a computer is defined as the system on which the Count!Guard software runs.
Neither concurrent use on two or more computers nor use in a local area network or other network of the
Count!Guard software is permitted without separate additional licenses to be authorized and paid for.
1.c Activation Code
Access to the Software is granted by the use of a License Key associated with the computer on which the
Software is used.
Licenser or its representative will have the right to control the computer(s) on which the Software has been
installed, in order to verify the compliance with the above obligations.
Licenser's Rights
Licensee acknowledges and agrees that the Software and User documentation are proprietary products of
Licenser protected under copyright law. Licensee further acknowledges and agrees that all rights, title and
interest in and to the Licensed Material associated intellectual property rights, are and shall remain with the
Licenser. This License Agreement does not convey to Licensee any interest in or to the Licensed Material,
but only a limited right of use, revocable in accordance with the terms of this License Agreement.
License Fees
The license fees paid by Licensee are paid in consideration of the licenses granted under this License
Agreement. Communication of License Key is subject to payment of the License fees.
